
ProSiebenSat.1 Acquires Commerce Business for Experience Gifts from Jochen Schweizer
Establishment of a joint holding company for mydays GmbH and Jochen Schweizer GmbH
Brands and companies will remain and complement each other
Munich, June 21, 2017. ProSiebenSat.1 Group is expanding its commerce business with another acquisition by taking a majority stake in Jochen Schweizer GmbH, which operates the business for experience gifts within the Jochen Schweizer Holding. The transaction is based on an enterprise value of EUR 108 million which corresponds to a ratio of the company s enterprise value to EBITDA of c. 11x as per year end 2016. Jochen Schweizer has built up the Munich-based company of the same name into a leading provider of experiences and experience gifts in Germany, Austria and Switzerland. The company's success has been shaped in particular by the outstanding brand and the expansion of omnichannel sales online, stationary retail and branded shops. ProSiebenSat.1 will combine the acquired company with its own 100 % stake in mydays under the umbrella of Jochen Schweizer mydays Holding GmbH. ProSiebenSat.1 will have a 90 % and Jochen Schweizer a 10 % stake in this new company. Both companies and brands will remain under the new holding company and complement each other in terms of offering and focus. The acquisition is subject to approval by the responsible cartel authorities.

The experience and event voucher market is posting attractive growth rates in the German-speaking region. For ProSiebenSat.1, the acquisition of Jochen Schweizer GmbH is the addition of another successful company that matches the Group's consistent commerce strategy. The Group has more than doubled mydays' revenues in the first three years since becoming part of the Group. In the future holding company, both brands will have an equal status and will complement each other, promote technical innovations and build on the omnichannel focus on online, stationary retail and branded shops.
Within ProSiebenSat.1's commerce portfolio, mydays is assigned to the travel vertical (including weg.de and tropo), which the Group is currently subjecting to a strategic review. mydays is not part of this review process.
