Der globale Automobil- und Industriezulieferer Schaeffler hat heute seine Absicht bekanntgegeben, bis zu 166 Millionen St ck neue und bereits bestehende Vorzugsaktien bei institutionellen Investoren zu platzieren und die Aktien der Schaeffler AG am Regulierten Markt (Prime Standard) der Frankfurter Wertpapierb rse notieren zu lassen.
Die neuen und bestehenden Vorzugsaktien sollen im Rahmen eines Bookbuilding-Verfahrens institutionellen Investoren insbesondere in Europa und Nordamerika zum Kauf angeboten und breit gestreut werden. Von den bis zu 166 Millionen Vorzugsaktien stammen bis zu 100 Millionen aus dem Bestand der Schaeffler Verwaltungs GmbH, einer Holdinggesellschaft der Familie Schaeffler. Weitere 66 Millionen St ck resultieren aus einer Kapitalerh hung der Schaeffler AG. Mit Abschluss der Transaktion wird ein Streubesitz in H he von rund 25 Prozent des Gesamtkapitals angestrebt.
Die geplante Platzierung und B rsenzulassung von Vorzugsaktien der Schaeffler AG ist ein Meilenstein in der Geschichte unseres Unternehmens. Sie ist zugleich der letzte Baustein der Neuausrichtung unserer Kapital- und Unternehmensstruktur. Wir vollenden so das seit mehreren Jahren konsequent verfolgte Zweis ulenmodell mit einer strategisch ausgerichteten Holdinggesellschaft an der Spitze , erl uterte Georg F. W. Schaeffler, Gesellschafter und Aufsichtsratsvorsitzender der Schaeffler AG.
Maria-Elisabeth Schaeffler-Thumann, Gesellschafterin und stellvertretende Vorsitzende des Aufsichtsrats der Schaeffler AG, sagte: Die Schaeffler Gruppe bleibt auch zuk nftig ein Familienunternehmen. Als Gesellschafter bernehmen wir unver ndert Verantwortung, damit sich unsere Unternehmensgruppe im Interesse unserer Kunden, Lieferanten und unserer vielen Mitarbeiterinnen und Mitarbeiter erfolgreich weiterentwickelt.
Die Einnahmen aus der Platzierung sollen zur Reduzierung der Verschuldung sowohl auf Ebene der Schaeffler AG als auch auf Ebene der Schaeffler Holding verwendet werden. Ziel der Transaktion ist es, auf diesem Wege die Kapitalkraft der Schaeffler AG und der Schaeffler Holding-Gesellschaften nachhaltig zu st rken und so die Voraussetzungen zu schaffen, um den seit Jahren erfolgreichen profitablen Wachstumskurs der Schaeffer Gruppe fortzusetzen. Klaus Rosenfeld, Vorsitzender des Vorstands der Schaeffler AG, sagte dazu: Wir haben die Schaeffler Gruppe und ihre Strukturen in den letzten Jahren schrittweise auf den Kapitalmarkt ausgerichtet. Der geplante B rsengang der Schaeffler AG ist ein strategischer Schritt, um die Verschuldung weiter zu reduzieren und die Kapitalstruktur zu verbessern. Wir verschaffen uns so noch mehr finanzielle Flexibilit t, um zus tzliche Wachstumschancen zu erschlie en.
Die Schaeffler AG plant k nftig und beginnend mit dem Jahr 2015 eine Dividende in H he von 25-35 Prozent des Jahres berschusses an die Aktion re auszusch tten. Neben der Reduzierung der Verschuldung durch die Einnahmen aus dem B rsengang sollen bei der Schaeffler AG bis 2018 weitere Schulden in H he von 1 Milliarde Euro aus dem operativen Cash Flow zur ckgef hrt werden.
Im ersten Halbjahr 2015 war der Umsatz w hrungsbereinigt um 4,9 Prozent bzw. um 12,4 Prozent inklusive W hrungseinfl ssen gestiegen. Ausgehend von einer in den Sommermonaten schw cher als erwarteten Marktentwicklung, vor allem im Automotive-Gesch ft in China, rechnet das Unternehmen f r das Gesamtjahr 2015 nunmehr mit einem w hrungsbereinigten Umsatzwachstum von 4 bis 5 Prozent. Schaeffler rechnet weiter damit, im Gesamtjahr 2015 eine Profitabilit t auf dem Niveau der ersten H lfte des Jahres 2015 zu erreichen. Dabei sind Einmaleffekte, wie Kosten f r die Transaktion und bereits angek ndigte Restrukturierungsma nahmen in der Sparte Industrie, nicht ber cksichtigt.
Klaus Rosenfeld erl uterte: Trotz der leichten Abschw chung in den Sommermonaten sind wir auf einem guten Weg, unser Gesch ft auch in diesem Jahr weiter auszubauen und so unseren langfristigen, profitablen Wachstumskurs fortzusetzen.
Die Deutsche Bank AG und Citigroup Global Markets Limited begleiten die Platzierung als Joint Global Coordinators und Joint Bookrunners. Bank of America Merrill Lynch International Limited und HSBC Trinkaus & Burkhardt AG sind als Joint Bookrunners mandatiert.
